Florida Statute: Fictitious Name Act, s. 865.09

In accordance with the requirements of Florida Statute: Fictitious Name Act, s. 865.09(3)(a)5 Certification by at least one registrant that the intention to register such fictitious name has been advertised at least once in a newspaper as defined in chapter 50 in the county in which the principal place of business of the registrant is or will be located.

If a business fails to comply with the Fictitious Name Act, s. 865.09(3)(a)5, under s. 865.09(9)(a) Neither the business nor the person or persons engaging in the business may maintain any action, suit, or proceeding in any court of this state with respect to or on behalf of such business until this section is complied with. An action, suit, or proceeding may not be maintained in any court of this state by any successor or assignee of such business on any right, claim, or demand arising out of the transaction of business by such business in this state until this section has been complied with. Furthermore, under s. 865.09(9)(c) Any person who fails to comply with this section commits a noncriminal violation as defined in s. 775.08, punishable as provided in s. 775.083.

Registering your fictitious name with Sunbiz and publishing your fictitious name in an approved newspaper are not the same. When you registered your fictitious name on Sunbiz you certified that you already published your fictitious name in a local approved newspaper. If you published your fictitious name in an approved newspaper you should have received a notarized affidavit with a copy of the published notice from the newspaper for your records.

In compliance with the Florida Statute, Florida Fictitious Name Publishing drafts and publishes the notice, at your request, with a newspaper in the county where your principal place of business is located in accordance with the Fictitious Name Act, s. 865.09(3)(a)5.

Renewals
If you use this site for registration renewal purposes; that are due the end of every five years of the original registration year your fictitious name; and you are engaging our company to do this on your behalf ahead of time, you authorize Florida Fictitious Name Publishing to hold the renewal registration and associated service fees on a separate Escrow Account for the time period until the completion of your registration at the end of the year can be finalized or until the funds are refunded per your request. Other than this separate escrow holding assistance, Florida Fictitious Name Publishing does not provide any escrow services or act as an escrow agent.

Orders on Hold
If you use this site for registration, renewal, update, cancellation, and/or publication purposes; and your order is put on hold for any reason that affects the completion of your order, you authorize Florida Fictitious Name Publishing to hold your order fee and associated service fee on a separate Escrow Account for the time period until the hold can be lifted on your account and the completion of your order can be finalized or until the funds are refunded to you per your request. Other than this separate escrow holding assistance, Florida Fictitious Name Publishing does not provide any escrow services or act as an escrow agent.

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator to be selected by two separate arbitrators who shall be independently selected by each party and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, the venue for any action under this Agreement shall be proper in Tampa, Hillsborough County, State of Florida. The arbitrator's award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable attorney's fees. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions.

Class Action Waiver
Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Furthermore, unless both you and Florida Fictitious Name Publishing agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Cancellation/Refund Policy

Since this type of work is time sensitive, you have 3 days from the time of the purchase to email or call us if you would like to cancel the order or change any of the information you have submitted before we process your order. Once your order has been processed, we cannot make any changes, cancel or refund your order.

Example: If your order is placed on 5/17/2021 at 4pm EST you have until 5/20/2021 at 4pm EST to cancel the order.

If you decide to cancel the order before the 3 days, we will refund 100% of the order. Please allow 5-7 business days for the refund to appear on your banking statement.

Example: If your order is placed on 5/17/2021 at 4pm EST and you email us on 5/18/2021 at 9pm EST to cancel the order, we will refund you 100% of the order.

It is your responsibility to verify if you or someone in your company has previously published the legal notice in a newspaper prior to placing your order. We do not verify if the notice has already been published in a newspaper. If you place an order and the notice has already been published in a newspaper, we do not provide a refund, unless it is within 3 days from the time of the purchase.

Note: If you do need to cancel the order or want to make changes to the order after the 3 day period please call or email us rather than filing a dispute or cancelling the charge with your banking institution, and we will do everything possible to try and accommodate your request.
